Terms Of Service
These Terms of Service (“Terms”) govern your access to and use of the services offered by [Helios] (“Company”, “we”, “us”, or “our”). By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you do not have permission to access or use the Services.
1. Services
Helios provides pay-per-click (PPC) advertising management services to clients. These services may include, but are not limited to:
- Campaign creation and management
- Keyword research and selection
- Ad copywriting and editing
- Landing page optimization
- Bidding strategy development
- Performance tracking and reporting
- Conversion tracking and optimization
2. Client Responsibilities
You are responsible for providing us with all necessary information and materials to perform the Services effectively. This includes, but is not limited to:
- Your advertising budget
- Your target audience
- Your advertising goals
- Any specific keywords or ad copy preferences
- Access to your advertising accounts
You are also responsible for reviewing and approving all campaign materials before they are launched.
3. Payment Terms
Payment terms will be outlined in a separate agreement between you and the Company. We may require payment in advance for certain services.
4. Term and Termination
These Terms will remain in effect until terminated by either party. You may terminate these Terms at any time by notifying us in writing. We may terminate these Terms for any reason, including, but not limited to, your breach of these Terms or non-payment. Upon termination, we will cease providing Services and you will be responsible for all outstanding fees.
5. Intellectual Property
We retain all ownership rights to our intellectual property, including our service concepts, methodologies, and marketing materials. You are granted a non-exclusive, non-transferable license to use the Services in accordance with these Terms.
6. Confidentiality
We will maintain the confidentiality of all client information, except as required by law or to provide the Services. You agree to maintain the confidentiality of all Company information.
7. Disclaimer of Warranties
The Services are provided “as is” and without warranties of any kind, express or implied. We disclaim all warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the results of the Services.
8. Limitation of Liability
We will not be liable for any damages arising out of or related to the Services, including, but not limited to, direct, indirect, incidental, consequential, or punitive damages.
9. Indemnification
You agree to indemnify and hold us harmless from any and all claims, losses, damages, expenses, and liabilities (including attorney’s fees) arising out of or related to your use of the Services or your breach of these Terms.
10. Force Majeure
We will not be liable for any delay or failure to perform our obligations under these Terms due to causes beyond our reasonable control, including, but not limited to, acts of God, war, terrorism, strikes, or natural disasters.
11. Governing Law
These Terms will be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions.

These Terms constitute the entire agreement between you and us regarding the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written.

We may amend these Terms at any time by posting the amended Terms on our website. You are responsible for checking the Terms periodically for updates. Your continued use of the Services after the amended Terms are posted constitutes your acceptance of the amended Terms.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
